2. Services Provided
2.1 IT Support Services
ITM247 provides a range of IT support services, including user support, network monitoring, endpoint monitoring, and break-fix services. The scope of these services is outlined in individual service level agreements (SLAs) between ITM247 and the client.
2.2 Third-Party Services
ITM247 acts as a reseller for third-party services such as Internet Connectivity, M365, Microsoft Azure product licensing and management, Online Backups, and Cloud CCTV. Clients acknowledge that these services are subject to the terms and conditions of the respective third-party providers.
3. Exclusions
3.1 Restricted Industries
ITM247 does not provide services to businesses engaged in the Gambling, Drug/Alcohol, or pornography industries. By using our services, clients confirm that their business activities do not fall within these restricted categories.
4. Third-Party Services
4.1 Infrastructure Disclaimer
While ITM247 facilitates the sale and management of third-party services, including branding some products with our name, we do not have control over the infrastructure of these services. Clients acknowledge and understand that ITM247 cannot guarantee the 100% uninterrupted operation of third-party services.
4.2 Third-Party Terms
Clients using third-party services through ITM247 agree to abide by the terms and conditions of the respective third-party providers. Any issues related to the use or performance of third-party services should be directed to the relevant third-party provider.
5. Limitation of Liability
5.1 Exclusion of Damages
In no event shall ITM247, its directors, employees, or affiliates be liable for any direct, indirect, incidental, consequential, or exemplary damages arising from the use of our services or third-party services.
5.2 Maximum Liability
The maximum liability of ITM247 for any claim, whether in contract, tort, or otherwise, is limited to the fees paid by the client for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.
6. Client Responsibilities
6.1 Proper Use
Clients are responsible for the proper use of ITM247 services and compliance with all applicable laws and regulations. Any misuse or violation may result in the termination of services.
6.2 Third-Party Service Management
Clients are responsible for the proper use and management of third-party services. ITM247 is not responsible for any issues arising from the client’s use or mismanagement of third-party services.
7. Indemnification
7.1 Client's Obligation
Clients agree to indemnify and hold ITM247, its directors, employees, and affiliates harmless from any claims, losses, damages, liabilities, or expenses arising out of their use of ITM247 services or third-party services.
8. Termination
8.1 Termination Clause
Either party may terminate services with written notice. Upon termination, clients are responsible for settling any outstanding fees and returning any borrowed equipment promptly.
9. Governing Law
9.1 Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of England. Any disputes arising out of or in connection with these terms shall be resolved through arbitration or the competent courts of England.
10. Data Collection and Privacy
10.1 Information Collected
